Welcome to Auto Pulse! These Terms of Service (“Terms”) govern your use of the Auto Pulse platform (“Platform”) provided by Auto Pulse Inc. (“we,” “our,” or “us”). By accessing or using our services as a dealer or agency, you agree to be bound by these Terms.

1. Eligibility

To use Auto Pulse, you must:

• Be at least 18 years old
• Have the legal authority to enter into binding contracts on behalf of your dealership or agency
• Not be barred from using our services under applicable U.S. law

2. Services Overview

Auto Pulse provides AI-powered software-as-a-service (SaaS) tools for dealerships and marketing agencies, including but not limited to:

• Lead management
• Customer engagement
• Sales performance analytics
• Campaign automation

We reserve the right to modify, suspend, or discontinue any feature at any time with or without notice.

3. User Accounts

• You must provide accurate and complete information to register for an account.
• You are responsible for maintaining the confidentiality of your account and password.
• You agree to notify us immediately of any unauthorized use of your account.

4. Data Privacy & Security

• We collect and use your data in accordance with our Privacy Policy.
• Dealership and agency data, including customer records, are stored securely and used solely for providing services.
• You retain ownership of your customer data; however, you grant us a limited license to use that data to operate and improve our services.

5. Dealer and Agency Responsibilities

By using Auto Pulse, you agree:

• To use the platform in compliance with all applicable laws (including TCPA, CAN-SPAM, and other marketing laws)
• Not to share access credentials or resell the platform without written permission
• To be responsible for your end users' activities on the platform
• To provide proper notices and obtain consent when using customer data for outreach or campaigns

6. Fees & Payment

• Access to Auto Pulse may be subject to fees as outlined in your agreement or plan.
• All payments are due in U.S. dollars and must be made on time. Late payments may result in suspension or termination of access.
• Fees are non-refundable unless otherwise specified in writing.

7. Intellectual Property

• All intellectual property in the Auto Pulse platform, including software, logos, and trademarks, remains our exclusive property.
• You may not copy, modify, distribute, or reverse-engineer any part of our platform without our prior written consent.

8. Termination

We may suspend or terminate your access to the Platform:

• For breach of these Terms
• Upon your request
• If required by law or to protect the integrity of the Platform

Upon termination, all licenses granted will immediately cease, and you must stop using our services.

9. Disclaimers

• The Platform is provided “as is” and “as available.”
• We do not guarantee that the services will be uninterrupted or error-free.
• We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the fullest extent permitted by law, Auto Pulse shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or goodwill
• Any amount exceeding the fees paid by you in the last 12 months

11. Indemnification

You agree to indemnify, defend, and hold harmless Auto Pulse and its officers, directors, and employees from any claims, liabilities, damages, or expenses (including legal fees) arising from your use of the platform or violation of these Terms.

12. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to its conflict of law principles. Any disputes must be resolved in the state or federal courts located in Chicago, Illinois.

13. Modifications

We may update these Terms from time to time. If we make significant changes, we will provide notice through the platform or by email. Continued use after changes means you accept the new Terms.
